Seller terms

Last updated:

What we expect from every shop on SMA, and what you can expect from us: listings, orders, delivery, returns, subscriptions and the content we use to promote your shop.

1. Who these terms apply to#

These seller terms apply to every business or individual that opens a shop on SMA (“you”, the “seller”). They add to our general terms of use, which also apply to you. If the two conflict on a selling matter, these seller terms take priority. SMA is operated by Rovid.

By creating a shop you confirm that you are at least 18, that you are allowed to run the business you list, and, if you open the shop for a company, that you are authorised to accept these terms on its behalf.

2. Your shop and account#

  • Keep your shop name, business details, contact numbers and address accurate and up to date. Shoppers rely on them to reach you.
  • You are responsible for everyone you give access to your shop dashboard, and for keeping your sign-in details secure.
  • Your shop gets its own address on SMA (for example yourshop.sma.rovidgh.com). Eligible plans can connect a custom domain that you own, under a separate domain subscription.
  • Shop addresses that could be confused with SMA pages or services are reserved and cannot be used.

3. Accurate listings#

Each product you list must:

  • be something you actually have, or can supply within the time you state;
  • be described honestly, including its condition (new, used, refurbished), size, colour, origin and any faults;
  • use photos of the actual product or accurate photos you have the right to use;
  • show the full price you will charge, in the shop’s currency, with any delivery fee explained before the shopper commits;
  • show a genuine “was” price on any discount or flash sale (do not inflate a price in order to discount it); and
  • comply with the law and with our prohibited and restricted items policy.

Keep stock levels up to date, and hide products you can no longer supply.

4. Handling orders#

  • Respond to new orders promptly, ideally within one working day, to confirm or decline them.
  • Honour orders you confirm at the price and on the terms shown when the shopper ordered. If you cannot, tell the shopper straight away and cancel the order in your dashboard.
  • Keep order statuses up to date, so that shoppers can follow their orders and genuine buyers can be invited to review.
  • Only contact shoppers about their orders, unless they have separately agreed to hear from you.

5. Payment and delivery#

SMA does not collect or hold payment for your products. You agree the payment method (for example cash on delivery or mobile money) and delivery arrangements directly with each shopper, and you are responsible for them.

  • Never ask a shopper to pay you through SMA’s name or brand, and never claim SMA guarantees a payment.
  • Give shoppers clear payment instructions and a receipt when they ask for one.
  • Deliver within the time you state, package goods safely, and tell the shopper about any delay.
  • Agree any delivery fee with the shopper before they pay it.

6. Returns, refunds and complaints#

You handle returns, exchanges and refunds for your own sales. You must comply with Ghanaian consumer protection law and meet the minimum standards in our returns and refunds policy, including accepting returns of goods that are faulty, unsafe, not as described or not what was ordered. State your own returns policy clearly in your shop.

If a shopper asks us to help with a complaint about your shop, we may contact you and ask for information about the order. Please respond within the time we ask.

7. Prohibited items and conduct#

You must not list, sell or promote anything on our prohibited items list, or restricted items without meeting the conditions stated there. You must also not:

  • post fake reviews, review your own products, or offer rewards for positive reviews;
  • copy other shops’ content, or use brands or trade marks you are not entitled to use;
  • send shoppers spam or messages they have not agreed to receive; or
  • use SMA to collect shoppers’ personal data for anything other than fulfilling their orders.

8. Shoppers' personal data#

When a shopper orders from you, you receive their name, contact details and delivery address. You are responsible for handling that information lawfully under Ghana’s Data Protection Act, 2012 (Act 843): use it only to fulfil and support the order, keep it secure, do not share or sell it, and delete it when you no longer need it. Our privacy policy explains how SMA itself handles personal data.

9. Plans, subscriptions and billing#

  • Every shop can start on the Free plan, within its limits. Paid plans add capacity and features such as more products, more social channels, scheduled posts, AI allowances and storage.
  • Plan prices are set in US dollars per billing period (for example daily, weekly, monthly or yearly) and are shown, with any conversion to your billing currency, before you pay. Payments are processed by our payment providers; we do not store your card or mobile-money details.
  • A paid plan runs for the period you buy. It does not renew automatically: we remind you before it ends, and you renew by paying for another period. If it is not renewed, your shop returns to the Free plan after a short grace period, and features beyond Free limits are paused, not deleted.
  • Upgrades take effect when paid. Downgrades take effect at the end of the current period.
  • Add-ons such as extra storage and custom domains are separate purchases.
  • Fees are not refundable, except where required by law or where we agree otherwise in writing. We may change prices for future periods; we will give you notice before a change affects you.

Subscription fees are what you pay SMA for the service. SMA does not take a commission on your sales.

10. Marketplace visibility#

Products and featured shops on the marketplace rotate daily. Shops on higher paid plans are given more exposure, but every active shop, including shops on the Free plan, remains eligible to appear. Search results, categories and the shop directory depend on what shoppers search for and choose. We do not guarantee any level of traffic or sales.

11. Verified shop badge#

SMA staff may award a “verified shop” badge to shops whose identity and business details we have checked. We may ask for documents or other information to do so, and we may remove the badge at any time, for example if details change or we receive well-founded complaints. The badge is never for sale and does not mean we guarantee your products.

12. Your content and our licence to use it#

You keep ownership of your shop name, logo, product photos, descriptions and other content. You confirm that you have the right to use it and that it does not infringe anyone else’s rights.

You give us a worldwide, non-exclusive, royalty-free licence to host, copy, resize, display and adapt that content to run your shop and the marketplace; to publish it to the social channels and messaging services you connect, when you ask us to or schedule it; and to show it in marketing for SMA and your shop (for example in search results, on our home page or in social posts). The licence ends when you remove the content or close your shop, except for copies already published or shared before then and backups kept for a limited time.

13. Social channels, auto-posting and AI#

  • When you connect a social or messaging account, you authorise SMA to post to it on your behalf. You must follow each network’s own rules; we are not responsible if a network limits, removes or changes access to your posts or account.
  • Posting to WhatsApp Status works through a linked device, which WhatsApp does not officially support. You connect it at your own risk.
  • AI features (such as captions and the shop assistant) generate suggestions that may be inaccurate. You are responsible for checking anything you publish, and for what your shop assistant tells shoppers about your products.

14. Suspension and closure#

We may hide listings, pause features, suspend or close a shop if you break these terms, the terms of use or the law, if we receive repeated or serious well-founded complaints, or to protect shoppers or SMA. Where it is safe and lawful to do so, we will tell you why and give you a chance to fix the problem. You may close your shop at any time by contacting us; complete or cancel any open orders first.

15. Liability#

You are responsible for your products, listings and sales, and for any claim a shopper or anyone else brings because of them. You agree to compensate us for losses we suffer because you broke these terms or the law. The limitation of liability in our terms of use applies to our liability to you.
